“Discover Your Trail with The North Face”

VF (J) FRANCE SAS whose registered office is at 31-33 rue du Louvre CS10203- 75002 PARIS, France VAT FR 78353238520 (hereinafter referred to as the "Promotion Company") in co-ordination with VF International SAGL whose registered office is in Via Laveggio 5- 6855 Stabio, Switzerland - VAT CHE-111.650.898, is organizing a prize draw called " Discover Your Trail with The North Face " (the "Prize Draw"). The Prize Draw will be run in conjunction with Strava inc. ("Strava").

About this Prize Draw

Entry into the Prize Draw is free and no purchase is necessary. By entering the Prize Draw, Entrants will be deemed to have agreed to be bound by these Prize Draw Rules.

Promotional Period

The Prize Draw will run between 14^th March 2022 and 10^th April 2022 (the "Promotional Period").

Eligibility

Entry into this Prize Draw is open only to legal residents of the France, Germany, UK and Italy (the "Participating Countries") who are at least eighteen (18) years of age, registered in the "XPLR Pass" loyalty programme (hereinafter “Entrant/s”).

Entrants can register for the loyalty programme free of charge at https://www.thenorthface.co.uk/.

Entrants not resident in a Participating Country will not be entitled to enter the Prize Draw. Entrants must enter the Prize Draw in the Participating Country in which they are resident.

Entrants must have the Strava GPS Cycling and Running App (“Strava App”) via free or subscription service. The type of service (free or subscription service) will not affect an Entrant’s ability to participate in the Prize Draw or their odds of winning.

The Challenge

The challenge (the “Challenge”) will be run through the Strava App, requiring the Entrants to run 100 km in the Promotional Period (from 14/03/2022 to 10/04/2022) as required and recorded on the Strava App.

Before engaging in the Challenge, it is strongly recommended that you consult with your doctor or health care professional to confirm that you are in suitable physical condition to do so. In taking part in the Challenge, Entrants understand and agree that running carries an inherent risk of injury, or in the worst case, death. By taking part in the Challenge, Entrants understand and agree that neither Strava nor the Promotion Company will be liable for any injury sustained in the course of the Challenge. Any Entrants who have any doubts as to their ability to participate in the Challenge are advised not to take part.

How to enter the Prize Draw:

• To enter the Prize Draw during the Promotional Period Entrants will have to:
• beginning on 7^th March 2022, open the Strava App and sign-up for the Challenge;
• beginning on 14^th March 2022, Entrants can go to the Challenge Gallery on the Strava App Explore tab, find the Challenge feed and select it;
• once an Entrant has completed a Challenge they must click on the "REDEEM" button, in the "badge" awarded on completion of the Challenge, and the Entrant will be re-directed to a website with an entry form; and
• to enter the Prize Draw, Entrants must log in with their XPLR Pass loyalty credentials and accept the T&C of the Prize Draw.

Entrants must provide accurate and complete information when completing the registration form. Incomplete or incorrect information will not be considered and will render the relevant Entrant‘s entry and participation null and void.

If an Entrant is discovered to have given incorrect information in relation to the Prize Draw, such Entrant will be immediately disqualified and/or removed from the Prize Draw. Such incorrect information may include, but is not limited to, supplying false personal details.

Receipt and/or redemption of a “badge” for completing a Challenge will not result in entry to the Prize Draw. Accessing the Strava App and/or entering the Prize Draw on-line via a mobile device may result in incurring wireless internet access fees and/or other charges.

Once the registration process has been successfully completed, Entrants will receive one (1) entry into the Prize Draw for the Participating Country they selected during the registration process as described above.

Please note that proof of transmission of an entry form does not constitute receipt of the same or proof of entry.

Strava will only provide a "badge" to an Entrant if the Strava App determines that the Entrant has run 100 kilometres during the Promotional Period.

Strava's determination of the Entrant's completion of the relevant Challenge is final and binding in all respects.

Any attempt to undermine the operation of the Strava App, including but not limited to any misrepresentation or deception of any kind as to whether they actually completed the Challenge will result in disqualification from the Prize Draw and may affect the individuals continued use of Strava App (via free or subscription service).

Restrictions:

Each Entrant may only register for the Prize Draw once. 

No Entrant may win more than one (1) prize.

Employees of the Promotion Company and all those involved in the organisation and management of the Prize Draw are not allowed to enter the Prize Draw.

Entrants must enter the Prize Draw in the Participating Country in which they are resident.

Prize

There will be twenty (20) prizes awarded as part of the Prize Draw (five (5) prizes for each Participating Country) which will be awarded in accordance with the section named “The method for awarding prizes” below.

The approximate value of each prize is:

The Maximum value ("MV") of any prize listed is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the MV is estimated for purposes of these Prize Draw Rules, and the date the prize is awarded or redeemed.  If the actual purchase price of the prize is less than the MV stated herein, the prize winner will not be entitled to a cheque, cash or other form of payment for the price difference. The prizes are not transferable to any other person, and no cash or other alternative arrangements will be offered.

The method for awarding prizes:

For each Participating Country, the Promotion Company will select five (5) winners at random from all valid entries received during the Promotional Period. All random drawings will take place on or about 20/05/2022. Entrants can contact the Promotion Company to find out the full list of winners here:  http://www.thenorthface.com/vectiv/strava.html

The selection of the winners is final and cannot be contested.

For each Participating Country, the Promotion Company will also determine five (5) runner-ups at random after the winners are selected.

A runner-up shall only be used if a winner fails to claim their prize in accordance with these Prize Draw Rules or is disqualified from the Prize Draw for any reason.

The selection of the winners and runner-ups is final and no correspondence will be entered into.

In the event of not enough Entrants having participated in order to award all prizes, the Promotion Company reserves its right not to award such prizes.

In the event that there are not enough Entrants to give away all prizes available for a specific Participating Country, the Promotion Company will select the winners from all valid Entrants registered during the Promotional Period in the other available Participating Countries. If the Promotion Company is still unable to award a prize, the Promotion Company reserves its right not to award all twenty (20) prizes or to award fewer than twenty (20) prizes at its absolute discretion.

Notification to the winners

Winners will be notified of their win by e-mail (using the e-mail address provided by Entrants upon registration) within seven (7) working days from the date the winners are drawn (which shall take place on or about 20/05/2022).

Winners will have seven (7) days from being notified of their win to reply to the notification email accepting the prize and providing all the information requested by the Promotion Company.

If a potential winner cannot be contacted within (7) calendar days after being first notified of their win, fails to provide the information requested, if the prize is rejected by the winner or the prize notification is returned as undeliverable, or in the event of noncompliance with these Prize Draw Rules and requirements, the winner will have forfeited such prize and it will be awarded to a runner-up.

The first runner-up with will be contacted in the same manner as described above and, if necessary, the process repeated until the prize is finally awarded to a runner-up.

In the event that having followed the awarding process described above, the prize cannot be given to a winner or a runner-up, the Promotion Company reserves its right not to award said prize.

The Promotion Company reserves the right to require winners to provide a valid form of identification proving their age and identity before receiving their prize.  Any identity verification document produced must be in the name of the person who has entered the Prize Draw.

Prizes will be delivered by the Promotion Company within 60 days of winners formally accepting their prize.

The Promotion Company shall not be liable to any winner with whom contact and/or delivery cannot be made due to:

1. incorrect or incomplete details having been provided at registration; or
2. the winner’s mailbox being full, blacklisted or no longer active; and/or

• the notification email being deemed to be spam and thus not reaching the winner's email account or being directed into the junk folder of the winner's email account.

Privacy Policy

By participating in the Prize Draw, Entrants hereby acknowledge that:

1. the processing of the Entrants’ personal data, necessary to allow their participation in the Prize Draw and for the administration of the Prize Draw, will be carried out by the Promotion Company, as data controller.
2. Furthermore, subject to the Entrant's consent, personal data will be processed for marketing and profiling activities by VF INTERNATIONAL S.A.G.L., based in Via Laveggio 5, 6855 - Stabio, Switzerland, as data controller.
3. Strava would act as an independent data controller of the personal data of Entrants collected through the Strava App to measure their physical performance when completing the Challenges. In this context, Strava is independently responsible for its compliance with the obligations with respect to the processing of Entrants’ personal data under applicable data protection laws.

The consent to the processing of data for the purposes referred to in paragraph b) is optional and does not affect participation in the Prize Draw.

Personal data will be processed by the Promotion Company in compliance with the applicable data protection laws and regulations, including Regulation (EU) no. 679/2016 - General Data Protection Regulation ("GDPR"), and kept for the time necessary to achieve the specific data processing purposes described herein, unless shorter or longer retention periods apply under applicable laws.

General:

The Promotion Company reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Prize Draw or these Prize Draw Rules should (in its sole discretion) virus, bugs, non-authorized human intervention, fraud or other causes beyond its reasonable control corrupt or affect the administration, security, fairness or proper conduct of the Prize Draw. In such case, the Promotion Company may select the winner from all eligible entries received prior to and/or after (if appropriate) the action taken by the Promotion Company.

Upon suspension or cancellation of the Prize Draw the Promotion Company cannot be held liable for any expenses incurred or damages suffered, whether direct, indirect, consequential or inconsequential, and the Promotion Company shall not be obliged to organize any alternative Prize Draw or offer any alternative prize.

Multiple registrations are forbidden. Any attempt by an Entrant to obtain more than the stated number of entries by using multiple/different e-mail addresses, identities and registrations, or any other methods may result in the exclusion of the Entrant from this Prize Draw. Use of any automated system to submit entries is prohibited and will result in disqualification.

The Promotion Company may prohibit an Entrant from participating in the Prize Draw or winning a prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Prize Draw by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other Entrants or Promotion Company representatives.

The Promotion Company may disqualify any Entrant that the Promotion Company or Strava find to be tampering with the procedure of participating in the Prize Draw or the operation of the Prize Draw, or to be

acting in violation of these Prize Draw Rules or the rules of any other promotion.

The Promotion Company is not responsible for any technical problems or human errors that may result in an entry not being received or being lost or damaged or for any destruction or alteration of, or unauthorized access to, Prize Draw registrations and entries.

The Promotion Company reserves the right, at any time, to verify the validity of entries and Entrants (including an Entrant's identity, age, etc.) and to disqualify any entry that is not in accordance with these Prize Draw Rules.

Save where the Promotion Company has been negligent or in relation to the Promotion Company's fraud and to the extent permitted by law, the Promotion Company shall in no way be liable for any injuries, losses, damages or expenses suffered or incurred by any winner of the Prize Draw, as a direct or indirect result of participating in this Prize Draw and/or accepting a prize.

The full costs of participation in the Prize Draw are entirely at the expense of the Entrant. In no case can the Entrant recover the cost of his or her participation from the Promotion Company.

The full costs of delivery of prizes (e.g. postage, customs and import VAT) shall be borne by the Promotion Company.

Winners will be solely responsible for all applicable taxes whether federal, national or local, relating to their prize.

Acceptance of these Prize Draw Rules is a condition of entry into the Prize Draw and entry indicates full acceptance of these Rules.

The Promotion Company’s decision is final. No correspondence will be entered into except with the winners to notify them that they have won and to provide the prizes.

The prizes quoted are subject to availability and, in the event of unforeseen circumstances, or circumstances outside of the Promotion Company's reasonable control, the Promotion Company reserves the right to amend, withdraw or substitute any part of this Promotion Company competition and/or prize for an alternative arrangement of equal or greater value.

The prizes are not transferable, and no cash or other alternative arrangements will be offered.

Failure by the Promotion Company to enforce any of its rights at any stage does not constitute a waiver of those rights.

If any term of these Prize Draw Rules shall be found to be void or contrary to law, such term shall be deemed to be severable from the other terms and provisions herein, and the remainder of the rules shall remain in effect.

In case of discrepancy between the French and the translated versions of these Prize draw Official Rules, the French version prevails.

These rules shall be governed by French law and the courts of Paris shall have non-exclusive jurisdiction.
